Terms of Service

The agreement governing your district's use of the SafePath Systems platform.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between SafePath Systems, Inc. ("SafePath," "we," "us," or "our") and the school district, transportation authority, or other educational institution ("District," "you," or "your") accessing or using the SafePath platform, mobile applications, APIs, and related services (collectively, the "Service").

By creating an account, deploying our software, or otherwise accessing the Service, you represent that you have the authority to bind your District to these Terms and that your District agrees to be bound by them. If you do not agree, do not use the Service.

Districts that have executed a separate Master Services Agreement (MSA) or Enterprise Agreement with SafePath should refer to that agreement, which supersedes these Terms where they conflict.

2. Description of Service

SafePath provides a proactive AI-powered fleet management platform designed for school districts, including:

  • Real-time GPS route tracking and geofence monitoring
  • AI-based visual threat and weapon detection with automated emergency alerting
  • Driver behavioral analysis and compliance monitoring
  • Fleet management dashboards, reporting, and audit logs
  • On-premise and cloud-hosted deployment options
  • Integration support and district onboarding services

SafePath reserves the right to modify, suspend, or discontinue features of the Service with reasonable notice. Material changes to core safety features will be communicated at least 30 days in advance.

3. Accounts & Access

3.1 Account Registration

Districts must register for an account and designate at least one Administrator. You agree to provide accurate, current, and complete registration information and to keep it updated.

3.2 Credentials

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify SafePath immediately at security@safepathsystems.com if you suspect unauthorized access.

3.3 Authorized Users

Access to the Service is limited to authorized District personnel. You may not share credentials or permit access by individuals outside your District without SafePath's written consent.

4. District Responsibilities

As a condition of using the Service, your District agrees to:

  • Ensure all drivers and staff using SafePath devices are properly informed of monitoring in accordance with applicable law
  • Obtain any legally required consents from employees, parents, or guardians before deploying the Service
  • Designate an Administrator responsible for managing user access and District configuration
  • Use the Service in compliance with FERPA, COPPA, and all applicable federal, state, and local laws
  • Promptly report any suspected security incidents or misuse to SafePath
  • Maintain appropriate network infrastructure to support on-premise deployments, where applicable

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Monitor individuals outside the scope of the District's authorized fleet operations
  • Attempt to reverse-engineer, decompile, or extract source code from the Service
  • Introduce malware, viruses, or other malicious code
  • Circumvent, disable, or interfere with security features of the Service
  • Resell, sublicense, or make the Service available to third parties without written authorization
  • Use the Service in any way that could damage, disable, or impair SafePath's infrastructure

6. Intellectual Property

6.1 SafePath IP

The Service, including all AI models, software, algorithms, interfaces, documentation, and related materials, is and remains the exclusive intellectual property of SafePath Systems, Inc. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service solely for your District's internal fleet management purposes.

6.2 District Data

Your District retains full ownership of all data you submit to or generate through the Service ("District Data"). You grant SafePath a limited license to process District Data solely to provide and improve the Service as described in our Privacy Policy.

6.3 Feedback

If your District provides suggestions or feedback about the Service, SafePath may use that feedback without restriction or compensation, though we will never attribute feedback to your District without permission.

7. Emergency Response Disclaimer

Please read this section carefully.

SafePath's AI threat detection and automated emergency alerting features are designed to assist — not replace — human judgment and established emergency response protocols.

  • SafePath does not guarantee specific response times from emergency services
  • Automated alerts depend on network connectivity, device functionality, and third-party emergency dispatch systems outside SafePath's control
  • AI detection is probabilistic and may produce false positives or false negatives
  • Districts must maintain independent emergency response procedures and must not rely solely on SafePath for student safety

SafePath shall not be liable for any failure of emergency services to respond, or for any harm arising from reliance on AI-generated alerts as the sole safety mechanism.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF AI OUTPUTS, OR NON-INFRINGEMENT.

SafePath does not warrant that the Service will be uninterrupted, error-free, or that all safety threats will be detected. Technology-based safety systems are one layer of a comprehensive safety strategy and should be used accordingly.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAFEPATH'S TOTAL LIABILITY TO YOUR DISTRICT FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOUR DISTRICT TO SAFEPATH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL SAFEPATH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF REVENUE, OR PERSONAL INJURY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such jurisdictions, SafePath's liability is limited to the maximum extent permitted by law.

10. Indemnification

Your District agrees to indemnify, defend, and hold harmless SafePath and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your District's use of the Service in violation of these Terms
  • Your District's violation of applicable law, including FERPA or COPPA
  • Unauthorized access to the Service through your District's credentials
  • Any content or data your District submits to the Service

11. Termination

11.1 By Your District

Your District may terminate these Terms at any time by providing 30 days written notice to SafePath and ceasing use of the Service. Fees paid are non-refundable unless otherwise specified in your subscription agreement.

11.2 By SafePath

SafePath may suspend or terminate your access immediately if your District breaches these Terms, fails to pay fees when due, or engages in activity that threatens the security or integrity of the Service or other Districts.

11.3 Effect of Termination

Upon termination, your license to use the Service ends immediately. SafePath will retain and delete District Data in accordance with our Privacy Policy and any applicable Data Processing Agreement.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and both parties consent to personal jurisdiction in those courts.

Nothing in this section prevents SafePath from seeking injunctive or other equitable relief in any jurisdiction to protect its intellectual property or confidential information.

13. Changes to Terms

SafePath may update these Terms from time to time. We will notify District Administrators via email at least 30 days before material changes take effect. Your District's continued use of the Service after the effective date constitutes acceptance of the revised Terms.

If your District does not agree to the updated Terms, you must cease using the Service and notify SafePath in writing before the effective date.
